Terms and Conditions – B2B

1. Parties and Scope
These terms and conditions apply to all services provided by Gametools / Serious Games Interactive, Ryesgade 106A, 4th floor, 2100 Copenhagen Ø (hereinafter referred to as “the Supplier”).
The terms include, among other things, workshops, teambuilding, corporate events, and related activities.
Agreements are entered into exclusively between the Supplier and business customers (companies and organizations).

2. Offers, Acceptance, and Changes
All offers are non-binding unless otherwise stated in writing.
A binding agreement is only concluded when:
• the customer has accepted the offer in writing (e.g. email), and
• the Supplier has confirmed the order.
Changes to an agreement are only valid if approved in writing by both parties.

3. Pricing and Scope of Services
All prices are stated excluding VAT unless explicitly stated otherwise.
Any prices or estimates on the website do not necessarily include:
• preparation
• planning
• logistics
• transportation or external costs
These elements are only included in the specific offer.
The final price covers only the services described in the agreement.
Changes in the number of participants, content, or execution may result in price adjustments.

4. Invoicing and Payment Terms
Invoicing is generally carried out after the event, with a payment term of 14 days net.
For larger events (over DKK 50,000 excluding VAT) or when using external suppliers, full or partial prepayment may be required.
Late payments may incur interest and fees in accordance with applicable law.
Failure to pay may result in postponement or cancellation of delivery without liability for the Supplier.

5. Cancellation, Participant Numbers, and Changes
As resources, staff, and capacity are reserved specifically for each assignment, the following applies in case of cancellation:
• More than 30 days before: no charge, except for non-refundable costs
• 30–15 days before: 25% of the agreed amount
• 14–7 days before: 50% of the agreed amount
• Less than 7 days before: full price (100%)
The final number of participants is fixed 14 days prior to the event and forms the basis for invoicing.
Minor adjustments may be accepted, but without guarantee of price changes.
Significant changes to format, content, or duration are considered a new agreement or an add-on.

6. Delivery, Cancellation, and Force Majeure
The Supplier may, in special circumstances, change or cancel an activity due to factors beyond reasonable control, including but not limited to illness, accidents, transport issues, extreme weather conditions, fire, strikes, government requirements, or similar events.
In such cases, the Supplier will attempt to:
• find a new date
• offer a similar activity
• or refund the amount minus documented costs
The Supplier is not liable for the customer’s indirect losses.

7. Liability and Limitations
The Supplier’s liability is limited to direct losses and can never exceed the total amount of the relevant agreement.
Compensation is not provided for indirect losses such as operating losses, loss of profit, or goodwill.
The Supplier is not liable for conditions caused by the customer, participants, or third-party providers.

8. Marketing and Reference Use
Unless otherwise agreed, the Supplier may use the customer’s name and logo as a reference for marketing purposes.

9. Confidentiality
Both parties undertake to treat confidential information received in connection with the collaboration as confidential.

10. Personal Data
Personal data is processed in accordance with applicable GDPR regulations.
Data is used solely for the administration and execution of agreed services.

11. Governing Law and Disputes
The agreement is governed by Danish law.
Any disputes shall be settled by Danish courts with the Supplier’s place of business as the venue.
